1. Terms of Service
By accessing this website, contacting Optima Quality Solutions, LLC, requesting a quote, approving a proposal, purchasing a service, submitting payment, or working with us, you agree to these Terms of Service and our related policies, including our Privacy Policy and Refund Policy.
Optima Quality Solutions, LLC, also referred to as “Optima Quality Solutions,” “OQS,” “Company,” “we,” “us,” or “our,” provides digital services including website design and development, branding, graphic design, QA testing, AI video content creation, AI viral shorts creation, SEO support, digital consulting, and related business support services.
These Terms are designed to keep every project clear, professional, and fair for both Optima Quality Solutions and our clients. They explain how our website, services, project work, payments, revisions, approvals, intellectual property, and client communications are handled.
If you do not agree with these Terms of Service, please do not use our website or services. Continued use of our website, communication with our team, or approval of a service means you accept these Terms.
2. Services and Project Scope
Optima Quality Solutions provides services based on the project details, service package, proposal, estimate, work order, invoice, subscription, written agreement, or written communication approved by the client.
Our services may include website planning, website design, website development, CMS setup, landing pages, branding, logo design, graphic design, QA outsourcing, manual testing, regression testing, cross-browser testing, cross-device testing, bug reporting, AI video content, AI viral shorts, SEO content structure, digital assets, digital consulting, and ongoing support.
The final scope of work must be confirmed in writing before the project begins. Any work not specifically included in the approved scope may be considered additional work and may require a separate quote, timeline, or written approval.
Client requests that change the original scope, timeline, design direction, number of pages, number of revisions, technical complexity, content volume, video volume, testing coverage, deliverables, integrations, or project requirements may affect the final price and delivery date.
Optima Quality Solutions will communicate major scope changes before continuing with additional work. However, work outside the approved scope is not included unless confirmed in writing.
We do our best to provide accurate timelines, but delivery dates may depend on client feedback, content delivery, approvals, third-party platforms, technical limitations, hosting providers, software tools, payment timing, or other factors outside our direct control.
3. Client Responsibilities and Approvals
The client is responsible for providing accurate information, required materials, brand assets, login access, written content, images, videos, business details, product details, service details, legal copy, account access, approvals, and feedback needed to complete the project.
Client feedback should be clear, timely, and consolidated when possible. Delayed feedback, missing materials, incomplete information, unavailable access, or unclear instructions may delay the project timeline. Optima Quality Solutions is not responsible for delays caused by missing client input or unavailable third-party access.
The client is responsible for reviewing all work before approval, including text, design, spelling, grammar, links, forms, contact information, pricing, business claims, legal language, images, videos, accessibility, and functionality.
Once the client approves a deliverable, page, design, asset, report, revision, or launch, that approval confirms acceptance of the work at that stage.
For website projects, the client is responsible for confirming that all business information is correct before launch. This includes company name, services, pricing, contact information, phone numbers, email addresses, addresses, policies, disclaimers, and any claims made on the website.
For QA services, Optima Quality Solutions provides testing based on the agreed scope. QA testing helps identify issues, improve quality, and reduce risk, but no testing process can guarantee that a website, app, software product, or digital system will be completely free from defects.
4. Payments, Revisions, and Cancellations
Project pricing, deposits, payment schedules, milestone payments, monthly fees, retainers, subscriptions, and final balances are determined by the approved proposal, work order, invoice, subscription, or written agreement.
Work may not begin until the required deposit, initial payment, or approved payment arrangement has been received.
Unless otherwise agreed in writing, invoices are due upon receipt. Optima Quality Solutions may pause project work, revisions, delivery, file transfer, website launch, ongoing support, or access to final deliverables if payment is late, incomplete, disputed, reversed, or unpaid.
Final files, source files, website transfer, launch support, completed deliverables, reports, or project access may be withheld until all outstanding balances are paid in full.
The client may be responsible for reasonable costs related to late payment collection, payment disputes, chargebacks, returned payments, administrative time, or third-party processing fees.
Revisions are included only as described in the approved scope of work. A revision means a reasonable adjustment to an existing direction. A revision does not include a full redesign, new concept, new page structure, new service, new video direction, new brand direction, or major change in project goals.
Requests outside the approved revision limits may require additional fees.
Either party may request to cancel a project in writing. If a project is canceled after work has started, the client may be responsible for payment for all completed work, time spent, reserved time, planning, strategy, design, development, testing, consulting, content creation, assets, communication, and preparation completed up to the cancellation date.
For ongoing monthly services, cancellation terms may depend on the approved agreement or subscription details. If no separate agreement exists, the client should provide written notice before the next billing cycle to avoid future charges.
5. Intellectual Property and Content Ownership
Ownership of final approved deliverables transfers to the client only after full payment has been received, unless a separate written agreement states otherwise.
Until full payment is received, Optima Quality Solutions retains ownership of all drafts, concepts, source files, design files, website builds, development work, reports, strategies, documents, creative assets, videos, graphics, testing materials, and other project-related work.
Final deliverables may include approved website files, graphics, brand assets, exported videos, reports, or other agreed project materials. Source files, editable files, internal documents, project systems, templates, code libraries, workflows, and production files are not included unless specifically stated in writing.
Optima Quality Solutions may retain ownership of internal processes, templates, reusable code, frameworks, workflows, design systems, QA methods, prompt structures, automation methods, strategy formats, testing methods, source concepts, and general knowledge used to complete the project.
The client may not copy, reuse, publish, transfer, modify, or claim ownership of unpaid work or partially paid work without written permission from Optima Quality Solutions.
The client is responsible for ensuring they have the legal right to use any materials provided to Optima Quality Solutions, including logos, images, fonts, videos, trademarks, written content, product descriptions, music, brand names, screenshots, customer data, and third-party assets.
Optima Quality Solutions is not responsible for copyright, trademark, licensing, or legal issues caused by client-provided materials. If the client provides content, the client confirms they have permission to use that content.
For AI-generated content, results may vary depending on tools, prompts, platform limitations, licensing rules, and output quality. The client is responsible for reviewing and approving AI-generated images, videos, text, voiceovers, captions, and creative assets before public use.
Unless the client requests confidentiality in writing, Optima Quality Solutions may display completed public-facing work in its portfolio, case studies, marketing materials, social media, or website to show examples of services provided.
6. Website Use, Limitations, and Legal Rights
The Optima Quality Solutions website is provided for general business information, service descriptions, contact, and educational purposes. Website content should not be considered legal, financial, tax, medical, or professional advice outside the scope of our digital services.
We work carefully and professionally, but we do not guarantee specific business results, search rankings, sales, traffic, conversions, revenue, viral performance, platform approval, or third-party outcomes.
Results may depend on many factors outside our control, including market demand, competition, advertising budget, platform algorithms, client follow-through, hosting performance, website speed, content quality, audience behavior, and user behavior.
Optima Quality Solutions is not responsible for problems caused by third-party platforms, hosting providers, CMS tools, plugins, APIs, payment processors, social media platforms, AI tools, search engines, email providers, analytics tools, domain registrars, app stores, advertising platforms, or software updates.
You agree not to misuse our website, copy our content without permission, attempt unauthorized access, interfere with website functionality, submit harmful code, scrape content, impersonate another person, or use our services for illegal, harmful, misleading, abusive, or fraudulent purposes.
To the fullest extent allowed by law, Optima Quality Solutions is not liable for indirect damages, lost profits, lost revenue, lost data, business interruption, platform downtime, third-party service failures, or decisions made based on website content or project communications.
7. Third-Party Platforms and Outside Services

Optima Quality Solutions is not responsible for delays, outages, limitations, account restrictions, policy changes, platform decisions, pricing changes, technical issues, lost access, rejected content, algorithm changes, search ranking changes, payment processor issues, or service interruptions caused by third-party platforms or client-owned accounts.
Refunds are not provided for problems, delays, or limitations caused by third-party services outside the direct control of Optima Quality Solutions.
The client is responsible for maintaining access to their own accounts, licenses, subscriptions, hosting, domains, payment systems, social media accounts, analytics accounts, and any third-party tools required for the project unless otherwise agreed in writing.
8. Dispute Resolution and Governing Law
If a concern, disagreement, payment issue, scope question, refund request, or project-related dispute occurs, both parties agree to first communicate in writing and make a good-faith effort to resolve the issue professionally.
The client should contact Optima Quality Solutions in writing with a clear explanation of the issue, related project details, invoice information if applicable, and the requested resolution. Optima Quality Solutions will review the matter and respond within a reasonable timeframe.
Both parties agree to attempt an informal resolution before pursuing formal legal action, unless immediate action is required by law or to protect legal rights, intellectual property, confidential information, payment rights, or business interests.
These Terms, our Privacy Policy, our Refund Policy, and any services provided by Optima Quality Solutions, LLC are governed by the laws of the state in which Optima Quality Solutions, LLC is legally registered, without regard to conflict-of-law principles.
Any dispute, claim, or legal matter related to our website, services, project work, payments, deliverables, or client relationship will be handled in the appropriate courts or legal venue located in that state, unless otherwise required by applicable law or agreed in writing.
